These Terms of Service (“Terms”) apply when you use the v-nerds.com website or work with Vnerds Technologies Pvt. Ltd. (“Vnerds”, “we”, “us”). By using our website or services, you agree to these Terms. If you do not agree, please do not use them.
1. Our services
Vnerds provides software development and technology services, including custom software development, mobile app development, e-commerce development, AI as a service, IoT automation solutions, system integration, UI/UX design and related consulting. The scope, timeline and price of each project are set out in a separate proposal, statement of work or project agreement.
2. Project agreements
If a signed project agreement conflicts with these Terms, the project agreement applies for that project.
3. Client responsibilities
When working with us, you agree to:
- Provide accurate and complete information
- Give us the access, content and resources needed to do the work
- Review deliverables and give feedback on time
- Make payments according to the agreed terms
4. Payments
Payment terms are set out in each project agreement. Unless agreed otherwise, invoices are due within 30 days. We may charge for late payments and pause work while invoices are overdue.
5. Intellectual property
Unless a project agreement says otherwise, ownership of the custom work we create for you passes to you once full payment has been received. We keep ownership of our pre-existing tools, code libraries, frameworks and know-how, and grant you the right to use them as part of your delivered solution. Third-party software and open-source components remain subject to their own licences.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during a project, including business plans, technical details and financial information. We are happy to sign a separate NDA before discussing your project.
7. Use of our website
The content on this website, including text, graphics and logos, belongs to Vnerds or its licensors. You may not copy, reuse or distribute it without our written permission. You agree not to misuse the website, attempt to break its security or use it for any unlawful purpose.
8. Warranty disclaimer
Our website and its content are provided “as is”. Except as stated in a project agreement, we make no warranties, express or implied, and we do not guarantee that our services will be uninterrupted, error-free or meet requirements outside the agreed scope.
9. Limitation of liability
To the extent allowed by law, Vnerds is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or business. Our total liability for any claim is limited to the amount you paid us for the services that gave rise to the claim.
10. Termination
Either party may end a project with written notice as set out in the project agreement. You agree to pay for all work completed up to the termination date.
11. Governing law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.
12. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and your continued use of our website or services means you accept them.
